Terms and Conditions of Use

1. Parties, acceptance and scope

Saitooth is an MVP SaaS for dental practitioners and practices. New organizations and practitioners may join at any time.

These terms govern access between Byron Manuel Rosas Salguero, RUC 1723943393001 (“Saitooth”), and the independent practitioner or organization contracting or using the service (“Client”). People accessing with Client authorization are “Authorized Users”. Accepting registration documents or using the service constitutes Client acceptance of these terms, the Data Processing Agreement and the Acceptable Use Policy. Anyone accepting for an organization declares sufficient authority. The Client manages authorized users, permissions and credentials.

The Client (organization owner) may authorize third parties, including administrative staff, collaborating practitioners and assistants, to access the platform within its organization. The Client alone safeguards credentials, assigns suitable roles and permissions, and is responsible for confidentiality breaches, misuse or deletion by authorized users.

2. Service role

Saitooth provides administrative and record-keeping software. It does not provide healthcare, practice medicine, diagnose, prescribe treatment or medicines, or replace professional clinical judgment. Every diagnosis, prescription, dose, instruction or clinical decision recorded or made on the platform is solely the healthcare practitioner's responsibility. Their legal, nondelegable patient health duty remains under the Organic Health Code and applicable regulations.

The Client is responsible for clinical decisions, entered content, checking documents and results before use, credentials, healthcare and data protection obligations, and informing patients about data processing.

3. Data and confidentiality

The Client retains rights to entered information. For patient data, the Client is Controller and Saitooth Processor under the DPA. Instructions are given through this agreement and platform use; the Client guarantees a legal basis for entered data.

Saitooth does not sell or use patient data for its own purposes, advertising, profiling or AI training. Client data may be processed for accounts, billing, support, security and legal compliance under the Privacy policy.

4. License and acceptable use

During the relationship, Saitooth grants a limited, nonexclusive, nontransferable, revocable license under the subscribed plan. Credential sharing, unauthorized data access, security attacks, harmful code, bulk extraction and decompilation are prohibited.

Saitooth retains full ownership and intellectual property rights in the software, platform, components and technology. The Client receives only the limited license described here, acquiring no software ownership. Prohibited conduct and operational rules are detailed in the Acceptable Use Policy.

The Client must not allow removal or alteration of Saitooth branding, rights notices or identifiers, or modify, create derivative works, disassemble, decompile, reverse-engineer, reproduce, distribute, republish or download software parts except as expressly allowed by law. Without prior written authorization, services must not be used to develop competing products or services, run performance or security tests, or be licensed, sold, rented, transferred, assigned, distributed, hosted, subcontracted, commercially exploited or made available to third parties except as expressly authorized here.

License or Acceptable Use Policy breaches may cause immediate account suspension or termination, in addition to applicable legal action.

5. Beta, availability and changes

The service is in beta and may contain errors, limitations, interruptions or changes. Saitooth will seek availability and communicate maintenance where reasonable, but guarantees neither continuous availability, immediate recovery nor specific functionality.

Material changes to these terms will be notified before taking effect. Renewed acceptance will be requested where legally required.

The service is provided “as is” and “as available”. Saitooth will make reasonable availability efforts and give as much notice as possible for planned maintenance, but guarantees no specific availability percentage. Temporary interruptions from maintenance, updates, infrastructure or connectivity failures create no compensation entitlement.

Saitooth is not liable for temporary interruption, data loss or system failures caused by force majeure, unforeseeable events, external cyberattacks, infrastructure provider failures (hosting, database or email), or Client internet deficiencies.

Saitooth does not guarantee unchanged information where failure results from brief outages, unstable Client internet or incompatible browsers. The Client must check that the platform visually confirms successful saving.

The platform runs scheduled tasks such as billing notices, recovery cleanup, retention and exports. These supporting tasks are not guaranteed infallible or real-time, depending on scheduling infrastructure and connectivity. The Client must periodically check relevant dashboard information and not rely exclusively on automated notifications for critical decisions.

Bulk or asynchronous processes, including exports and reports, run on serverless infrastructure subject to hosting execution limits. Saitooth cannot guarantee uninterrupted completion when data exceeds infrastructure capacity. The Client must verify bulk tasks and critical notifications completed successfully in the dashboard.

6. Payments, trial and cancellation

Current plans, prices and conditions appear in the platform or pricing page. Free trials, discounts, training, migration or additional features apply only when expressly offered and confirmed by Saitooth.

Payments are nonrefundable except where mandatory law requires otherwise. Early cancellation does not refund already billed amounts.

Nonpayment may cause access suspension after notice and a grace period. During suspension, Client data is retained rather than immediately deleted; payment can restore service. Continued nonpayment may result in account cancellation under this agreement.

The Client may request cancellation. Data return, export or deletion is coordinated in writing based on technical capabilities, Client instructions and legal duties. The Client remains responsible for retaining clinical records and copies needed for professional obligations.

The platform provides standard-format data exports and reasonable export assistance at termination. The Client must maintain regular external downloads and backups, at least monthly and preferably weekly. Saitooth is not responsible for clinical record continuity or retention lost through failure to make these preventive backups. Legal clinical record retention rests exclusively with the Client as Controller.

Account emails, including verification, authentication and billing notices, are sent through an external provider. Saitooth cannot guarantee receipt or real-time reading because delivery depends on external factors such as spam filters, mailbox capacity and Client domain settings. Delayed, redirected or undelivered notifications create no compensation entitlement.

7. Liability

To the fullest extent permitted by law, Saitooth is not responsible for clinical decisions, incorrect Client-entered data, Client noncompliance, loss from failure to retain information, indirect damage or lost profit. Nothing excludes liability Ecuadorian law does not permit excluding, including Saitooth's own data protection obligations.

Saitooth will not be liable to the Client or third parties for indirect, incidental or punitive damages or lost profit, including lost revenue, canceled consultations, patient claims or business interruption.

To the fullest extent permitted by Ecuadorian law, Saitooth's total cumulative liability for claims, damages, losses or actions from use or inability to use the platform is limited to amounts actually paid during the three (3) subscription months immediately preceding the event. This does not limit liability from Saitooth's fraud or gross negligence, or legally nonlimitable data protection obligations.

8. Governing law and contact

These terms are governed by Ecuadorian law. Disputes go to competent authorities or courts in Quito, without prejudice to nonwaivable rights.
